Existing investors

For a foreign investor who has already created a legal structure in Viet Nam and has already been granted an investment certificate, there is no need to create a new company if he wants to undertake a new activity. He can simply request an amendment of the investment certificate.

In order to benefit from this possibility, that was established by the Investment Law of 2005, foreign invested companies created before July 1st, 2006, must re-register under the new regime.

It is also possible to convert the form of incorporation of a company, e.g. from LLC to Joint Stock Company and/or from a 100% owned subsidiary to a joint venture.

Amendment of investment certificate (business registration contents)

A foreign invested company, with an existing investment certificate, has the possibility to amend the initial investment certificate e.g. to extend the scope of its activities or to increase the size of its investment.

Any change in the elements mentioned in the initial investment certificate must be registerered within 10 days with the authority that granted the certificate.

The amendment procedure is similar at all authorities entitled to granting investment certificates. We give here, as an example, the procedure at DPI.

Company re-registration

A foreign invested company established before 1 July 2006 may apply for re-registration in order to benefit from the dispositions of the new Investment Law of 2005.

The re-registration procedure is similar at all authorities entitled to granting investment certificates. We give here, as an example, the procedure at HCMC's Department of Planning and Investment (DPI).

Company conversion

A foreign invested company can apply for conversion to change its form of incorporation. For companies created before 1st July 2006, conversion may be conducted at the same time as re-registration, or after.
